User acknowledges that the Website and Services contain proprietary and confidential information that is protected by applicable intellectual property and other laws. User agrees not to copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Website or Services without the Company's prior written consent.

The Company may terminate this Agreement at any time, with or without cause, and with or without notice. Upon termination of this Agreement, User's right to access and use the Website and Services shall immediately cease. The provisions of this Agreement that by their nature should survive termination shall survive termination, including, but not limited to, the provisions regarding intellectual property, indemnification, and governing law.

This Agreement constitutes the entire agreement between User and the Company with respect to the Website and Services, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between User and the Company. No waiver of any provision of this Agreement shall be effective unless in writing and signed by both User and the Company. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
